1. Acceptance of Terms
By accessing or using the cmodl platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Service Description
cmodl is an AI-powered software development platform that orchestrates specialized AI agents to assist with framing, modeling, building, and deploying software. The Service includes:
- AI agent interactions for code generation, architecture planning, and deployment
- Human approval gates for reviewing and authorizing agent actions
- Integration with cloud providers (AWS, Azure, GCP) for deployment
- Collaboration tools for team-based development workflows
- APIs and SDKs for programmatic access
3. User Responsibilities
You agree to:
- Provide accurate and complete account information
- Maintain the security of your account credentials
- Use the Service in compliance with all applicable laws and regulations
- Review all AI-generated outputs before deploying to production environments
You agree not to:
- Use the Service to generate harmful, malicious, or illegal content, including malware, exploits, or content that violates the rights of others
- Attempt to circumvent, disable, or otherwise interfere with safety guardrails, content filters, or approval gates built into the platform
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to build a competing product or to benchmark against competitors
- Share your account credentials or allow unauthorized access to your account
- Submit content that infringes intellectual property rights of third parties
4. AI-Generated Content
Disclaimer:Outputs produced by cmodl's AI agents (including code, configurations, documentation, and deployment scripts) are AI-assisted and may contain errors, security vulnerabilities, or inaccuracies.
- You are solely responsible for reviewing, testing, and validating all AI-generated outputs before use in any environment
- cmodl does not guarantee the correctness, completeness, security, or fitness for purpose of any AI-generated content
- Human approval gates are provided to facilitate review but do not constitute a warranty of output quality
- AI-generated code may inadvertently reproduce patterns from training data; you are responsible for ensuring compliance with applicable licenses
5. Intellectual Property
Your content:You retain ownership of all code, data, and content you provide to the Service ("Your Content"). You grant cmodl a limited license to process Your Content solely for the purpose of providing the Service to you.
AI outputs:Subject to the rights of any third parties, code and content generated by cmodl's AI agents in response to your inputs are assigned to you. cmodl does not claim ownership of AI-generated outputs.
Our platform: The cmodl platform, including its design, architecture, agent orchestration system, UI components, and documentation, is the intellectual property of cmodl. These Terms do not grant you any rights to our platform beyond the right to use the Service as described herein.
6. Data Processing and Third-Party AI Providers
By using the Service, you acknowledge and agree that:
- Your inputs (including chat messages, code, and project context) are transmitted to third-party large language model providers, including Anthropic and OpenAI, for processing
- These providers process your data under data processing agreements with cmodl and their respective privacy policies
- We use zero data retention (ZDR) API access where available, meaning providers do not retain your data for training
- Enterprise customers can configure self-hosted model endpoints to keep data within their own infrastructure

7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will provide reasonable notice of planned maintenance where possible.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- cmodl is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement
- cmodl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
- cmodl is not liable for any damages arising from AI-generated outputs, including code that causes system failures, security breaches, or data loss
9. Indemnification
You agree to indemnify and hold harmless cmodl, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if:
- You breach these Terms
- You use the Service for illegal or harmful purposes
- Required by law or legal process
- Your account has been inactive for more than 12 months (free tier)
Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination, after which it will be deleted in accordance with our Privacy Policy.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, sending you an email notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
